Mutual Non-Disclosure Agreement

This Mutual Non-Disclosure Agreement (“Agreement”) is entered into between:
SKIN Venture Works, Inc., (“SKIN”), and
The individual or entity submitting materials through the SKIN Pulse intake form (“Founder”).
This Agreement becomes effective upon the Founder’s submission of the intake form and acceptance of this Agreement via required checkbox consent.
1. Purpose
The purpose of this Agreement is to allow the Founder to share information with SKIN in connection with the SKIN Pulse diagnostic review, a one-time strategic assessment based on materials submitted by the Founder.
This engagement is limited to the SKIN Pulse diagnostic unless otherwise agreed in writing.
2. Definition of Confidential Information
“Confidential Information” includes:
Pitch decks
Financial data
Product roadmaps
Customer data (excluding personally identifiable end-user data unless explicitly provided)
Metrics, dashboards, strategy documents
Business plans
Any non-public business or technical information shared through the intake form or subsequent communications
Confidential Information does not include information that:
Is publicly available at the time of disclosure
Becomes publicly available through no breach of this Agreement
Is independently developed without use of the disclosed information
Is lawfully obtained from a third party without restriction
3. Mutual Confidentiality Obligations
Both parties agree to:
Use Confidential Information solely for the purpose of preparing or reviewing the SKIN Pulse Report
Not disclose Confidential Information to third parties without written consent
Limit access to individuals who reasonably need access for the stated purpose
Protect the information using reasonable safeguards
SKIN may use internal analytical tools and software to assist in preparation of the Report. All analysis and conclusions remain under SKIN’s editorial control and are subject to confidentiality obligations under this Agreement.
4. No Data Sale or Redistribution
SKIN does not:
Sell Founder information
Share Founder materials externally
Use Founder materials for marketing or promotional purposes without explicit written consent
5. Ownership
All Confidential Information remains the property of the disclosing party.
The SKIN Pulse report, including its structure, methodology, scoring systems, and analytical framework, is the intellectual property of SKIN Venture Works, Inc.
The Founder receives a limited license for internal business use only.
The Founder may not reproduce, distribute, or publish the full report publicly without written permission.
6. Term
This Agreement remains in effect for two (2) years from the date of submission.
Confidentiality obligations survive termination of this Agreement.
7. No Advisory or Fiduciary Relationship
The SKIN Pulse diagnostic is an independent strategic perspective.
Nothing in this Agreement creates:
A partnership
A joint venture
A fiduciary relationship
An ongoing advisory obligation
Any deeper engagement requires a separate written agreement.
8. No Warranty
The SKIN Pulse Report reflects an independent analytical perspective based on materials provided.
SKIN makes no guarantees regarding outcomes, performance, investment results, or business success.
9. Limitation of Liability
SKIN’s total liability related to the SKIN Pulse engagement shall not exceed the amount paid for the SKIN Pulse diagnostic.
10. Governing Law
This Agreement shall be governed by the laws of the State of Delaware.
11. Acceptance via Clickwrap
By checking the required box and submitting the SKIN Pulse intake form, the Founder:
Acknowledges they have reviewed this Agreement
Agrees to its terms
Confirms they have authority to submit materials on behalf of themselves or their company
Electronic acceptance constitutes a legally binding agreement.
12. Children’s Privacy
SKIN Pulse is not directed to individuals under 18 years of age.
We do not knowingly collect data from minors.
13. Updates to This Privacy Policy
We may update this Privacy Policy from time to time.
The “Last Updated” date at the top reflects the current version.
Continued use of SKIN Pulse constitutes acceptance of updates.
